3.3 Orders and Contracts
- Orders are confirmed via written proforma invoice or sales contract.
- Production begins upon receipt of deposit or confirmed L/C.
- Order modifications may incur additional costs and lead time changes.
- Custom orders are subject to specific terms outlined in the sales contract.
3.4 Payment Terms
- Standard: 30% T/T deposit, 70% balance before shipment
- L/C at sight accepted for larger orders
- Payment terms for new customers are strictly T/T or L/C
- Net terms may be available for established customers subject to credit approval
4. Shipping and Delivery
- Lead times are estimates and may vary based on order specifics.
- Shipping costs are borne by the buyer unless otherwise agreed.
- Risk of loss passes to the buyer upon delivery to the carrier (FOB terms).
- We are not responsible for delays caused by customs, carrier issues, or force majeure.
- Buyers are responsible for import duties, taxes, and customs clearance.
5. Quality and Warranty
5.1 Quality Guarantee
We guarantee that our products conform to the specifications agreed upon at the time of order. All products undergo quality inspection before shipment.
5.2 Warranty Period
Our products carry a 12-month warranty from the date of shipment against manufacturing defects. This warranty does not cover damage from misuse, improper installation, normal wear and tear, or unauthorized modifications.
5.3 Claims
- Quality claims must be submitted in writing within 30 days of receipt.
- Claims must include photos, description of issues, and order reference.
- Our liability is limited to replacement of defective goods or refund of purchase price.
- We are not liable for consequential damages or losses beyond the product value.
6. Returns and Refunds
- Standard products may be returnable within 15 days, subject to restocking fee.
- Custom/special-order products are non-returnable.
- Returned products must be in original packaging and unused condition.
- Return shipping costs are the responsibility of the buyer.
- Refunds are processed within 7-14 business days of receiving returned goods.
7. Limitation of Liability
To the maximum extent permitted by law, CuMetal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or products. Our total liability for any claim shall not exceed the purchase price of the specific product(s) involved.
8. Force Majeure
We shall not be liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, government actions, labor disputes, supply chain disruptions, or transportation failures.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of business. This obligation survives the termination of any business relationship.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the People's Republic of China.
- Any disputes shall first be resolved through good-faith negotiation.
- Unresolved disputes may be submitted to arbitration in Shanghai, China.
- The arbitration award shall be final and binding on both parties.
11. Modifications
We reserve the right to modify these Terms at any time. Changes take effect upon posting to the website. Your continued use of our website after changes constitutes acceptance of the modified Terms.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
